GE Silicones Buys Maclanburg-Duncan

In a joint statement today, GE Silicones and Macklanburg-Duncan announced that GE Silicones has agreed to purchase Macklanburg-Duncan's adhesives and sealants business. Terms of the sale were not disclosed. At the same time, GE Silicones announced its intention to establish a wholly owned subsidiary, GE Sealants & Adhesives. Following customary government reviews and approvals, GE would purchase Macklanburg-Duncan's sealants and adhesives business. The acquired business is to be integrated into GE Sealants & Adhesives. This will broaden GE's current business in both the consumer DIY and construction professional segments by adding significant acrylic sealants and adhesives technologies and new relationships with dealers and customers.

"Macklanburg-Duncan's distribution capability and reputation with professional dealers complements GE Silicones' relationships with home centers and mass merchants," said William P. Driscoll, Jr., VP and general manager of GE Silicones. "The actions we take today will ensure that GE Silicones is better positioned to serve the consumer, construction and industrial segments for sealants and adhesives."

Richard C. Brown, president and general manager, GE Sealants & Adhesives added, "The addition of Macklanburg-Duncan's products, brands, and manufacturing capabilities will allow GE Sealants & Adhesives to provide a complete offering of sealant and adhesive products. This will both broaden and strengthen our relationships with retailers, customers and distributors."

Michael Samis, chairman of the board and CEO of Macklanburg-Duncan, said, "This transaction will allow us to focus on our weatherstrip, carpet metal and other building products business in an effort to provide the best value to our dealers and the consumer. Additionally, we will create a new focus on our in-store retail service division for the home center industry." Macklanburg-Duncan will continue to operate their primary aluminum extrusion facilities in Oklahoma City and Gainesville, GA.

Both the purchase of Macklanburg-Duncan's adhesives and sealants business, and the formation of the new GE Sealants & Adhesives company, are expected to be complete in March of this year.

GE Silicones, an operating division of GE Plastics, is a global manufacturer of silicone products with its headquarters in Waterford, NY.
